Self-Employed in Illinois — Your Deadline Is Your Own Birthday

Illinois does not give every LLC the same deadline. It gives every LLC its own. The annual report is due against your anniversary month, which means it can fall at any point in a purchase — including the weeks when a contract is already running.

That is different from a fixed statewide date, which you can calendar once and forget. An anniversary deadline has to be looked up, and almost nobody looks it up while buying a house.

When exactly is my report due?

Every domestic Illinois LLC, and every foreign LLC admitted to transact business in Illinois, must file an annual report.

Under 805 ILCS 180/50-1(b), the report and required charges are due during the 60 days immediately before the first day of the LLC's anniversary month. The Secretary of State describes the practical deadline as before the first day of the anniversary month.

So it is formation-date-driven. Two Illinois business owners who file on the same day one year may have deadlines seven months apart, and neither can safely use the other's date.

Look up your anniversary month before you start shopping, not when a request arrives. It takes a minute and it is the only way to know whether the deadline is a non-issue or a live one.

What happens if it slips?

There is a sequence, and knowing it tells you how much room you actually have.

A late penalty applies if the report is not filed within 60 days after its due date, per the Secretary of State's current LLC guide.

Administrative dissolution follows a notice, not the deadline. Under 805 ILCS 180/35-30, the Secretary sends a delinquency notice and administratively dissolves the LLC if an annual-report default is not corrected within 120 days after that notice.

After dissolution, the company continues only to wind up — which is a materially different legal position from operating.

Reinstatement is available by filing the application, the delinquent annual reports and required charges. The Secretary of State's electronic procedure requests all delinquent annual reports up to a maximum of six years. No current fixed cutoff for applying to reinstate was identified in the state materials, so the practical constraint is the reports themselves rather than an expiry.

The useful reading of all that: a single missed month is a penalty, not a crisis. What creates the crisis is the notice period running out while nobody is watching — and during a home purchase, nobody is watching.

Why does this reach my loan at all?

Because verifying that the business exists is a standard step on a self-employed file, ordinarily performed shortly before closing rather than at application.

If the public record shows delinquency or, worse, administrative dissolution, that clean contemporaneous verification is not available until reports and charges are cured. The timing is the whole problem: the check happens late, so a lapse surfaces late, when a closing date is agreed and a seller has their own plans.

None of this is difficult in advance. All of it is difficult in week five.

How will they check?

The Secretary of State's public Corporation/LLC Entity Database provides a file-detail report showing formation or registration date, registered agent, and active or inactive status, among other items.

A certificate of good standing can be ordered from the same result when a transaction needs documentary proof rather than a screen.

Note that the database also shows your registered agent. That is worth a glance while you are there, because an agent who resigned or a company that stopped operating is the kind of lapse nothing in your daily work would tell you about.

Do I owe Illinois anything just for existing?

No Illinois minimum income or franchise tax that every dormant LLC must pay merely for existing was identified.

Illinois replacement tax is measured by net Illinois income and applies to partnerships, S corporations, corporations and trusts. A disregarded single-member LLC has no separate Illinois income-tax filing requirement — its items appear on the owner's return.

The annual-report filing fee is still due to maintain the entity even when there is no activity. That is a compliance charge rather than a tax on existing, and it is the thing that keeps the entity in good standing regardless of whether it earned anything.

Which return will an underwriter expect?

Your federal election decides it, and Illinois follows.

A federally disregarded LLC reports through its owner — a single-member LLC treated as a sole proprietorship reports its business items on the owner's Illinois Form IL-1040 rather than filing a separate Illinois LLC income-tax return.

A partnership-taxed LLC files Illinois Form IL-1065.

An LLC taxed as a corporation is treated as a corporation for Illinois tax purposes.

Replacement-tax obligations therefore depend on classification and net income rather than on the letters "LLC." Asking which returns should be in the file starts with asking how the entity is taxed, not what it is called.

One thing that does not change with the election: the annual-report obligation applies to the LLC either way.

Is there a state business licence?

No universal Illinois business licence for every LLC was identified.

Illinois directs businesses to activity-specific state regulators — principally the Department of Financial and Professional Regulation — and to applicable local requirements.

Formation and annual reporting do not substitute for an occupational or regulated-industry licence. If your work is licensed, that licence is a separate matter from your entity's standing, and often the more natural document showing the business is genuinely operating.
