Self-Employed in South Dakota — Getting Reinstated Means Clearing Two Agencies
In most states, reinstating a lapsed LLC is a Secretary of State problem. In South Dakota it is a two-agency problem.
Reinstatement requires eliminating the dissolution ground, filing all delinquent reports, paying required charges, restoring registered-agent information where needed — and obtaining a Department of Revenue tax-clearance certificate.
That last item is what turns a form into a project. A second agency means a second queue and a second timeline, neither of which you control.

When is the report due?
A South Dakota LLC files an annual report every year, due on the first day of the anniversary month of the entity's original Secretary of State filing. The first report is due the following year, and filing opens two months before the due date.
It is an anniversary-month deadline, not a statewide date — so it can land at any point in a loan file, and no two owners necessarily share it.
The two-month early window is genuinely useful and almost nobody uses it. If you know a purchase is coming, filing early removes the question entirely.

What happens if it slips?
The entity becomes delinquent and incurs a late charge two months after the due date, per the Secretary of State.
Continued delinquency may lead to administrative dissolution.
And then the two-agency problem. Reinstatement requires:
- eliminating the dissolution ground
- filing all delinquent reports
- paying required charges
- restoring registered-agent information where needed
- a Department of Revenue tax-clearance certificate
The current Secretary materials do not state a fixed outside reinstatement deadline for a domestic LLC, which is unusually forgiving compared with states that close the door after a set number of years. The constraint here is not a deadline — it is the work, and the second agency.
Why this matters to a mortgage specifically
Because confirming the business exists is a standard step on a self-employed file, ordinarily performed shortly before closing.
A dissolved entity blocks clean verification until reinstatement completes. In most states that is a filing you can turn around quickly. In South Dakota it also depends on a tax-clearance certificate from a different agency, and that is the piece that does not compress just because you have a closing date.
Which is the entire argument for checking early. A South Dakota lapse found at application is a scheduling matter. The same lapse found in closing week is a delay you cannot shorten by trying harder.
Which returns should be in my file?
This is where South Dakota is genuinely unusual, and where the wrong request gets made.
South Dakota imposes neither personal nor corporate income tax.
So there is no South Dakota individual income-tax return for anyone to collect, and — unlike almost everywhere else — electing corporation treatment does not create a South Dakota income-tax return either.
The practical consequence is that your tax election changes nothing at the state level here. It still matters federally, and it still determines which federal business documents exist, but it does not produce a South Dakota return in any classification.

So a file's evidence is ordinarily federal returns, current public entity status, and any activity-specific state tax licence relevant to the business. Requesting South Dakota personal or corporate returns asks for documents that do not exist.

So a quiet quarter is not a quarter off. That obligation follows the licence and the taxable activity rather than LLC status alone — which means it applies to some South Dakota businesses and not others, and knowing which you are is worth five minutes.
