Self-Employed in Maine — "Inactive" Is Three Different Things Here

Maine gives a genuinely inactive LLC something most states do not: a lawful way to stop filing. An LLC that has ceased doing business and owes no annual-report fees or penalties may obtain a certificate of excuse from future annual reports, and files a certificate of resumption before doing business again.

That matters on a mortgage file for a reason that has nothing to do with tax. It means "inactive" is not one condition in Maine — it is three, and they should not be collapsed into a single word on a document request.

The three conditions an idle Maine LLC can be in

Excused. The business ceased operating, owes nothing, and holds a certificate of excuse. It is not filing annual reports and that is entirely lawful. This is an orderly entity, not a neglected one.

Administratively dissolved. Reports and penalties went unresolved and the Secretary of State acted. This is the one that creates work.

Operating with a delinquent report. The business is running; the paperwork slipped. Different again, and usually the easiest to fix.

A document request that treats all three as "inactive" produces the wrong conversation. An excused entity looks alarming if you assume it was abandoned, and reassuring if you know what the certificate means. Naming which one you are in, early, saves a great deal of back-and-forth.

When is the Maine annual report due?

June 1, as a fixed statewide deadline rather than an anniversary date.

The first report is due between January 1 and June 1 of the year after formation or foreign qualification, and every subsequent report uses the same January-to-June window.

A late filing penalty applies after June 1. If the report and penalty remain unresolved, the Secretary of State may administratively dissolve a domestic LLC or revoke a foreign LLC's authority.

The recovery route is unusually generous. A Maine LLC may seek reinstatement within six years after administrative dissolution, and reinstatement relates back to the dissolution date — the company resumes as though dissolution had not occurred. That is a wider window and a cleaner result than several states offer.

If your report is late, file it before you apply rather than during. The cure is straightforward; the timing is what makes it expensive.

Do I owe Maine something just for existing?

No general Maine minimum franchise or income tax owed by every inactive ordinary LLC merely for existing was identified.

Maine corporate income tax requires Maine income and federal corporate-tax status. Pass-through obligations depend on income, owner residency and classification. The annual-report filing obligation and its charge sit separately from all of that.

So an idle Maine LLC is not accumulating a tax balance the way one in some other states would — which is precisely what makes the certificate of excuse a real off-ramp rather than a pause on a running meter.

Which return will an underwriter read?

Your federal classification decides it, because Maine follows federal treatment.

A default single-member LLC reports through its owner's individual return. Maine generally imposes individual income tax on individuals with Maine-source income, and business income from a disregarded single-member LLC ordinarily reaches the owner's return.

A partnership-taxed LLC follows the pass-through path, and may carry nonresident-member withholding duties.

An LLC taxed as a corporation follows Maine corporate income tax rules where it has Maine income.

The June 1 report is due regardless of which of those you are. Classification changes the returns your file should contain; it does not change the Secretary of State's maintenance deadline. Keeping those two separate is most of what makes a Maine file straightforward.

How does a lender confirm the business?

Through the public record. The Secretary of State provides Corporate Name Search and Corporate Info and Filings services, along with certificates of legal existence.

The public record checks entity status and filings; the certificate of legal existence is the formal proof when a transaction specifically calls for it. Knowing which is being requested avoids producing the wrong one.

Verification that the business exists is a standard step, ordinarily performed shortly before closing — which is why a June 1 lapse tends to surface in autumn, months after the deadline that caused it.

Is there a state business licence?

Maine does not issue one general statewide licence to every business. Maine.gov says general business licences are managed at the town or city level, while specified professions and activities require additional state permits or licences.

So Secretary of State registration is distinct from municipal and occupation-specific licensing, and being current with one says nothing about the others. If your activity is licensed locally, that municipal licence is often the most natural document showing the business is operating rather than merely registered.

What the returns have to show

What I would establish before anything else: which of the three conditions your entity is actually in. Excused, dissolved and merely late are different facts with different cures, and the word "inactive" hides all three.
