Self-Employed in Wyoming — the Two-Year Door That Does Not Reopen
Most states leave the door open. Wyoming closes it.
An administratively dissolved Wyoming LLC can be reinstated within two years. After that, Wyoming law does not permit reinstatement — the entity is not recoverable, and whatever was attached to it has to be rebuilt rather than restored.
That is the only hard expiry among the states I lend in, and it sits behind a deadline that arrives faster than people expect.

How fast does it actually happen?
Faster than most states, which is the part worth internalising.
The report and the annual licence tax are due on or before the first day of your formation-anniversary month. The first is due at the first anniversary. It is an anniversary-month obligation, not a statewide date.
You are deemed delinquent on the second day of the month after the due date.
If the report remains unfiled for 60 days after the due date, the entity is administratively dissolved.
Sixty days. Not a year, not three years — two months from the deadline to dissolution.
Then the two-year clock starts. Reinstatement within that window requires curing the grounds and submitting the delinquent reports, taxes and required reinstatement materials. After two years in administratively dissolved status, that route is gone.
Put your anniversary month in the calendar, and treat the following 60 days as the whole of your margin.
The licence tax is the item people miss
Wyoming's annual report is not only a report. It includes an annual licence tax.
The current Secretary of State schedule calculates that tax from assets located and employed in Wyoming, subject to a flat minimum.
So an LLC can owe the minimum annual licence tax even with no income and no activity, for as long as it remains an active Wyoming filing.
That is the continuing entity-level obligation most likely to be overlooked, and the reason is structural: Wyoming has no personal or corporate income tax, so an owner with no income reasonably assumes there is nothing to pay. The licence tax does not follow income. It follows the filing.
An idle Wyoming LLC is not free, and the bill does not stop arriving because the business stopped operating.
What does exist at the state level, and what does not
Worth stating precisely, because Wyoming's reputation invites two opposite errors.
Wyoming has neither personal nor corporate income tax. There is no Wyoming individual income-tax return for a mortgage file, and a self-employed owner's federal income and self-employment tax obligations are unaffected by that.
So the tax election changes nothing at the state level. Choosing disregarded, partnership, S-corporation or C-corporation treatment does not create a Wyoming income-tax return in any case.
But the annual report and licence tax follow the Wyoming entity and do not disappear with any federal election.
The election still matters — it determines the federal returns an underwriter reviews, which is where a self-employed file actually lives. How an S corporation owner's salary and distributions are treated covers the classification most often misread.
How will a lender check?
The Secretary of State's WyoBiz services provide a public entity search, access to filed business documents, and an online certificate of good standing.
Formal transaction evidence should use the certificate rather than treating a name-search result alone as proof. If a certificate is what is being asked for, a screenshot of a search is not a substitute.
Verification that the business exists is a standard step, ordinarily performed shortly before closing — which, given a 60-day path to dissolution, is easily late enough for a missed anniversary month to have already become a dissolution rather than a delinquency.
Is there a state business licence?
Wyoming does not issue one universal operational licence through LLC formation.
The Wyoming Business Council directs businesses to activity-specific state regulators and to applicable cities or counties. Sales-tax licensing is handled by the Department of Revenue, and many contractor requirements are local.
The annual licence tax and entity good standing should not be mistaken for proof that every occupational or local permit is current. They are different questions with different answers, and in a state where the licence tax is the headline obligation, it is easy to assume paying it covers more than it does.
