Self-Employed in Missouri — the Thing That Can Cancel Your LLC Is Not the Thing People Check

Missouri LLCs do not file an annual report, and never did. The Secretary of State draws the distinction between LLCs and corporations expressly. So a request for one is a corporation's rule being applied to an entity it does not cover.

That matters more than it sounds, because it sends attention to the wrong place. Something else can cancel a Missouri LLC's articles, and it is not an annual report.

What can actually put my LLC's status at risk?

Section 347.183 authorises the Secretary of State to cancel an LLC's articles for a defined set of failures:

  • not filing a required document
  • not maintaining a registered agent and registered office
  • not paying a required filing fee

The same section provides a reinstatement process after administrative cancellation, available once the underlying ground is eliminated.

Read that list again, because the practical consequence follows from it. The cure depends on which ground actually applied. Reinstating after a registered-agent lapse is a different job from reinstating after an unpaid fee, and neither is fixed by filing an annual report that does not exist.

The registered agent is the one that catches people. It is the requirement most likely to lapse quietly — an agent resigns, a company you used stops operating, an address goes stale — and nothing about running your business day to day tells you it happened.

Check your entity's public record before you apply, and look at the registered agent specifically. It is a lookup, not a project.

How will a lender verify the business?

Through the public record, and Missouri makes that straightforward.

The Secretary of State's Business Entity Search provides public entity records, and the Secretary issues certificates of good standing for entities that satisfy the applicable requirements.

Those are two different documents and it is worth knowing which is being asked for. A search result is not a substitute for a formal certificate when a transaction specifically requires one. If the request is for a certificate, produce a certificate; if a search result will do, that is faster.

Verification that the business exists is a standard step on a self-employed file, ordinarily performed shortly before closing rather than at application — which is exactly why a quiet registered-agent lapse surfaces at the worst possible moment.

Do I owe Missouri something just for existing?

No, and this is the second stale request worth naming.

Missouri's corporation franchise tax was phased out and is not imposed for tax years beginning on or after January 1, 2016. No separate Missouri minimum income tax owed by every inactive default-classified LLC merely for existing was identified.

So a document request for a Missouri franchise-tax return on a 2016-or-later year is asking for something that does not exist. Income-tax filing instead follows federal classification and Missouri-source activity, and activity-specific taxes — sales, withholding and others — may apply independently on their own terms.

Which return does my file actually turn on?

Your federal classification, because Missouri follows it rather than the entity label.

The Department of Revenue sets out the three paths:

An LLC federally treated as a corporation files Missouri Form MO-1120.

A federally disregarded LLC is likewise disregarded for Missouri corporation income tax and has no separate corporate filing obligation — sole-proprietor income is reported on federal Schedule C and then on the Missouri individual return.

A partnership-classified LLC follows the Missouri partnership-return route.

The election changes which returns exist. It does not create an annual report. Those are separate questions and conflating them is how a Missouri self-employed file gets tangled.

Is there a state business licence?

Not one universal one, and Missouri does not treat LLC registration as permission to conduct every type of business.

State tax registration and licences depend on the activity — taxable retail sales require Department of Revenue registration, for example — and cities, counties, professions or state agencies may impose separate licensing.

One Missouri-specific document worth knowing about: for certain licences, a retail business must demonstrate sales- and withholding-tax compliance through a Certificate of No Tax Due. If your business is one that needs it, that certificate is often the cleanest evidence that the operating side of the business is current.

What I would check this week: your registered agent, on the public record. It is the most common quiet failure in a Missouri LLC file, and the only one whose cure gets harder the later you find it.
